S&P Global announced Sept. 17 it has agreed to acquire OpenZeppelin, the security and auditing standard underpinning the largest onchain financial infrastructure.
OpenZeppelin's open-source smart contract libraries and audit services secure over $37 trillion in digital asset transfers, including the majority of major stablecoins and tokenized funds. The firm has completed more than 900 security engagements across protocols and institutions in DeFi and traditional finance.
The acquisition extends S&P Global's risk assessment framework into onchain technology risk, allowing the ratings firm to develop benchmarks and transparent risk models as capital markets migrate onchain. Both DeFi-native companies and traditional financial institutions rely on OpenZeppelin's audits for infrastructure security.
Yann Le Pallec, president of S&P Global Ratings, said the company will integrate OpenZeppelin's smart contract and onchain technology expertise into its digital asset risk assessment capabilities, providing institutional confidence for firms entering onchain environments.
Demian Brener, CEO of OpenZeppelin, said the partnership will extend the firm's audit standards to a broader set of organizations and blockchain networks gaining institutional adoption. OpenZeppelin will operate as a distinct business unit under Brener, who will report to Le Pallec.
Jefferies LLC advised S&P Global, with Clifford Chance as legal counsel. FT Partners and Cooley advised OpenZeppelin. Financial terms were not disclosed. S&P Global said the deal is not expected to have a material impact on its financial results.
