Tamarack Valley Energy Ltd. and Headwater Exploration Inc. have agreed to merge in an all-stock transaction valued at $7.24 billion, uniting two of the Clearwater region's lowest-cost producers into a single pure-play operator.

Headwater shareholders will receive one Tamarack common share per share held. The deal requires Tamarack to issue 237.8 million shares, leaving current Tamarack holders with 66.5 percent ownership and Headwater shareholders with 33.5 percent.

The combined company will operate under Tamarack's management and produce 80,000 barrels of oil equivalent per day from the Clearwater on a pro forma run-rate basis. Both producers operate at low corporate breakeven prices with minimal reinvestment needs—a structural advantage that underpins the merger thesis.

Tamarack projects the deal to be immediately accretive to free cash flow per share. The pro forma balance sheet shows $50 million in net cash and $1.2 billion in available liquidity, supporting sustained development within the play.

The company will increase its quarterly dividend 20 percent to $0.06 per share, effective December 2026, implying an annualized payout of $0.24. The transaction is expected to close midway through the fourth quarter of 2026.

For full-year 2026, Tamarack projects combined production of 65,500 to 67,500 boe per day, a 7 percent increase over prior guidance, with capital spending budgeted at $450 million assuming transaction close.

Operational synergies derive from decades of accumulated Clearwater drilling inventory and waterflood upside. Consolidation increases the asset base's durability and efficiency, supporting long-cycle production profiles typical of the play.

Non-core exploration acreage will be transferred to Tributary Exploration Inc. a new entity managed by Headwater's current team. This structure allows Tamarack and Headwater shareholders to maintain exposure to prospective assets outside the core Clearwater focus.

The merger extends Tamarack's consolidation strategy across the Western Canadian Sedimentary Basin, following prior acquisitions of Crestwynd Exploration, Anegada Oil, and Deltastream Energy.
