Xponential Fitness ($XPOF) jumped to $4.40 from $3.65 after Fund 1 Investments formally proposed acquiring the company at $5.61 to $7.00 per share in cash, according to an SEC filing.

The move came after nearly 400 call options traded in a single five-minute window at 9:45 AM ET—unusual volume for the typically quiet stock that preceded the announcement.

Fund 1's offer values the company up to 92 percent higher than pre-announcement levels and targets Xponential's portfolio of boutique fitness brands, including StretchLab, Pure Barre and Club Pilates. The asset-light franchise model generates recurring membership revenue that appeals to private equity buyers.

The current $4.40 price sits 27 to 59 percent below Fund 1's range, reflecting market skepticism about deal completion or the final negotiated price. Investors are pricing in risks of a board rejection, higher competing bids or regulatory friction.

Xponential's board is expected to establish a special committee to evaluate the proposal and explore alternatives. Shareholders should expect a formal response within weeks as directors weigh their fiduciary obligations.
