Marvell Technology is in advanced discussions to acquire Lumentum Holdings for approximately $83 billion, according to sources familiar with the negotiations. An announcement could come as soon as next week.

Lumentum manufactures optical transceivers and related components for data center interconnects. In large AI clusters, these products are a known constraint: they enable the high-bandwidth, low-latency communication required between GPU nodes, and supply remains tight as hyperscalers scale training infrastructure.

Marvell supplies networking silicon and custom semiconductors to enterprise and cloud data centers. Acquiring Lumentum would let Marvell offer a vertically integrated stack—custom silicon paired with optical I/O—reducing its reliance on third-party component makers and giving it direct leverage over a critical input in the AI infrastructure build-out.

The $83 billion valuation reflects how central optical interconnects have become to the competitive moat around data center efficiency. Faster, lower-latency optics directly reduce GPU cluster training time; hyperscalers willing to pay premium prices for supply advantage see optics as worth fighting for.

The move positions Marvell against competitors—including Broadcom and Cisco—that are also pursuing vertical integration plays in AI networking. By owning both the silicon and the optics, Marvell could offer customers tighter integration, faster product cycles, and bundled pricing that standalone competitors cannot match.
