C.H. Robinson Worldwide, Inc. (Nasdaq: CHRW) agreed to acquire RXO Inc. (NYSE: RXO) in a stock-and-cash transaction valued at $5.8 billion, or $30.25 per RXO share ($17.25 cash plus 0.0856 CHRW shares).
The combined company will have an enterprise value exceeding $25 billion and integrate two complementary transportation networks. C.H. Robinson expects to realize approximately $300 million in net run-rate cost synergies within two years by deploying its Lean AI operating model across RXO's business.
The deal merges C.H. Robinson's trucking brokerage and managed transportation services with RXO's expedited and last-mile delivery capabilities, plus adds C.H. Robinson's global forwarding operations.
"This is a natural next step in our transformation," C.H. Robinson President and Chief Executive Officer Dave Bozeman said. He characterized the combined entity as a more scaled, resilient North American third-party logistics provider positioned to support customers with complex challenges.
C.H. Robinson stock closed at $157.72, valuing the company at $18.43 billion. The stock trades at 30.1 times earnings and yields 1.6 percent. The valuation reflects investor confidence in the cost synergies, but execution risk is material. Investors should monitor quarterly synergy progress post-close and watch for any freight volume headwinds that could compress margins before cost cuts fully offset revenue pressure.
