Nscale, a British AI infrastructure provider, has secured $3.36 billion in convertible note financing ahead of its planned NYSE listing, with the company targeting a $35 billion valuation upon debut.

Hedge fund Third Point led the round, providing $2.36 billion immediately. Nvidia, already a shareholder, committed an additional $1 billion, with those funds arriving in mid-November. The notes convert to equity upon the IPO, which Nscale initiated with a formal SEC filing last week. The company separately aims to raise $3 billion through the public offering itself.

The funding structure reveals the capital intensity required to operate AI data centers at scale. Nscale has accumulated over $103 billion in signed contracts, according to its IPO filing—a meaningful backlog that validates demand in a market where compute capacity has become a bottleneck.

The company provides infrastructure optimized specifically for AI workloads, distinguishing itself from general-purpose cloud providers. It is building data center campuses in Norway and West Virginia to serve global demand.

Nscale spun out two years ago from Arkon Energy, an Australian cryptocurrency mining operation. The pivot from crypto to AI compute represents a capital-efficient transition: the company leveraged existing expertise in large-scale power delivery and thermal management.

Nvidia's investment signals alignment between GPU supply and data center demand. As the dominant provider of AI accelerators, Nvidia routinely invests in infrastructure customers to secure future chip orders and lock in strategic relationships. Third Point's involvement underscores institutional appetite for equity upside in foundational AI infrastructure—the picks-and-shovels layer beneath generative AI applications.
