Prudential Financial Inc. is evaluating a full exit from Alexforbes, South Africa's largest standalone retirement-fund administrator, in a move that directly benefits billionaire Patrice Motsepe's African Rainbow Capital (ARC).
The Newark-based insurer has informed Alexforbes and ARC of its intent to divest, signaling a broader retreat from the emerging markets segment. The timing coincides with two additional transactions that shift ownership toward Motsepe's investment vehicle.
New Veld, currently holding 446.8 million Alexforbes shares, has agreed to sell 74.07 million shares to ARC AF Holdings—representing 5.7 percent of total shares outstanding. Simultaneously, Alexforbes is conducting a 373 million share repurchase, which reduces the denominator for ownership calculations and mechanically increases the proportional stake of all remaining shareholders, including ARC.
The three-part transaction structure—Prudential's exit, New Veld's block sale, and the share buyback—creates a clear consolidation dynamic. ARC, already the largest shareholder, gains additional votes and economic interest from both the New Veld transfer and the increased proportional ownership from the repurchase. Prudential's withdrawal removes a counterweight to Motsepe's influence.
Alexforbes administers retirement savings for approximately 2 million members across South Africa, giving control of the firm material significance within the country's financial services infrastructure.
