Adobe Inc. Chair and CEO Shantanu Narayen sold 125,000 shares for $31.3 million on Sept. 16-17, 2026, executing the trades through The Narayen Family Trust at weighted average prices between $249.53 and $253.74 per share, according to SEC filings.
The sales were characterized as tax and estate planning, with no Rule 10b5-1 trading plan reported. That omission matters: it suggests these were discretionary open-market sales, not pre-arranged trades designed to sidestep insider trading scrutiny.
The timing is critical. Narayen's departure as CEO is already announced. Insiders typically accelerate equity liquidation before a leadership transition, both to lock in value and to simplify their financial ties to the company post-exit. The pattern here is unmistakable.
This is his third major transaction in 2026. On April 28, Narayen sold 75,000 shares for $18.2 million. On July 15, he liquidated stock worth $900,000 to cover tax withholding on vesting restricted stock units. Combined, Narayen has now dumped over $50 million in Adobe equity this year.
The cumulative message: confidence in the exit and a desire to reduce his financial exposure. After the September sales, Narayen held just 399.15 shares directly. The Narayen Family Trust holds additional shares, but the personal stake has been hollowed out.
For Adobe shareholders, watch two things. First, the succession announcement and the new CEO's strategic positioning—transitions often signal strategic shifts.
