Oracle's 5-year credit default swap reached 203 basis points on July 24, meaning the annual cost to insure $10 million of Oracle debt against default now runs $203,000. That figure tops the company's previous all-time high, set during the 2008 global financial crisis, and represents more than a quadrupling of the CDS spread since mid-2025.

A credit default swap is an insurance contract on a borrower's debt. A buyer pays an annual premium; the seller pays out the face value if the borrower defaults. When spreads widen sharply, the market is pricing in higher probability of financial stress—not necessarily imminent default, but genuine concern about a company's ability to service its obligations.

The pressure extends beyond the CDS market. The spread on Oracle's 6.7 percent bonds maturing in 2056 widened eight basis points on Monday alone to 263 basis points over comparable Treasuries. The spread on its 5.7 percent bonds maturing in 2036 widened nine basis points the same day to 205 basis points. Wider spreads mean Oracle pays a larger premium over the risk-free rate to borrow—directly raising the cost of any new debt the company issues.

On July 9, S&P Global Ratings downgraded Oracle to BBB-, the lowest investment-grade rating, citing rapid growth in AI-related capital spending. BBB- sits one notch above junk status. A further downgrade would force many institutional bond funds restricted to investment-grade holdings to sell Oracle's debt, potentially triggering a disorderly selloff in its bonds.

Oracle has committed to a $70 billion AI data center expansion, the figure that drove the spending concern at the center of the S&P downgrade. That level of capital expenditure requires sustained, heavy debt issuance. The CDS market is pricing the compounding risk of a company already carrying significant leverage now taking on a construction program at infrastructure-builder scale.

Oracle's credit trajectory since mid-2025 is stark. A CDS spread that has more than quadrupled in roughly two months is not a gradual drift—it is a repricing. Oracle's prior crisis-era peak, set when the entire global financial system was under acute stress in 2008, has now been surpassed by a spread driven by a single company's own balance-sheet decisions rather than a systemic shock.

The bond spread widening on a single Monday—eight and nine basis points on the 2056 and 2036 maturities respectively—signals active selling pressure in Oracle's secondary debt market, not merely a theoretical CDS repricing. When cash bonds sell off in tandem with CDS widening, the market is expressing the same view through two separate instruments, which reinforces the signal.

Oracle has not yet responded publicly to the CDS levels or bond spread widening with a specific capital-structure statement. The S&P downgrade rationale—AI spending growth—is the company's own strategic choice, not an external shock. Management has defended the data center expansion as essential to competing for cloud and AI workloads against Amazon Web Services, Microsoft Azure and Google Cloud.

The rating now leaves Oracle with almost no buffer before a junk designation. S&P, Moody's and Fitch do not always move in lockstep, but an S&P cut to BBB- typically draws scrutiny from the other two agencies. If either follows with a sub-investment-grade rating, forced selling by investment-grade-only funds would add mechanical pressure to Oracle's bond prices independent of any fundamental change in the company's business.

At 263 basis points over Treasuries on its long-dated bonds, Oracle's cost of long-term debt is materially higher than it was before mid-2025. Every incremental dollar of data center financing raised at these spreads is more expensive than what the company modeled when it announced the program, which pressures the return on invested capital the expansion needs to justify its own borrowing costs.
