S-1 registration statement

An S-1 registration statement is a comprehensive document filed with the SEC by a company or fund seeking to offer securities to the public.

What it is

An S-1 registration statement is a mandatory filing with the Securities and Exchange Commission (SEC) for companies or funds planning to offer securities to the public for the first time. For an exchange-traded fund (ETF), this document outlines the fund's investment objectives, strategies, risks, fees, management team, and how shares will be created and redeemed. It provides transparency to potential investors, ensuring they have all necessary information before investing.

For new crypto ETFs, an S-1 registration statement must be declared "effective" by the SEC after the corresponding 19b-4 filing is approved. The S-1 focuses on the specific fund's operational details, whereas the 19b-4 addresses the exchange's rule changes for listing. Until both are cleared, the ETF cannot begin trading. Amendments to the S-1 often occur as the SEC provides feedback, refining disclosures and operational mechanics, such as cash versus in-kind creation.
